Terms and conditions for using the SalesPro Hub platform

Important Legal Agreement

These Terms of Service constitute a legally binding agreement between you and SalesPro Hub (Pty) Ltd. Please read these terms carefully before using our platform. By using SalesPro Hub, you acknowledge that you have read, understood, and agree to be bound by these terms.

Acceptance of Terms

  • By accessing or using the SalesPro Hub platform, you agree to be bound by these Terms of Service.

  • If you do not agree to these terms, please do not use our services.

  • These terms apply to all users, including visitors, registered users, and premium subscribers.

  • Your continued use of the platform constitutes acceptance of any updated terms.

Service Description

  • SalesPro Hub provides cloud-based sales management software for South African businesses.

  • Our platform includes territory management, customer relationship management, order processing, and analytics tools.

  • Services are provided on a subscription basis with various pricing tiers.

  • We reserve the right to modify, suspend, or discontinue any part of our service with notice.

User Accounts and Registration

  • You must provide accurate and complete information when creating an account.

  • You are responsible for maintaining the security of your account credentials.

  • Each user account is for individual use only and may not be shared.

  • We reserve the right to suspend or terminate accounts that violate these terms.

Acceptable Use Policy

  • Use the platform only for lawful business purposes in compliance with applicable laws.

  • Do not attempt to gain unauthorized access to our systems or other users' data.

  • Do not use the platform to transmit harmful, offensive, or illegal content.

  • Do not reverse engineer, decompile, or attempt to extract our source code.

  • Do not use automated systems to access the platform without our consent.

  • Respect intellectual property rights and do not infringe on third-party rights.

Data Ownership and Responsibilities

  • You retain ownership of all data you upload to the SalesPro Hub platform.

  • You grant us a license to process your data solely to provide our services.

  • You are responsible for the accuracy and legality of data you input.

  • You must ensure you have proper rights to upload and process customer data.

  • We implement appropriate security measures but cannot guarantee absolute security.

  • You agree to backup critical data and not rely solely on our platform for data storage.

Payment Terms and Billing

  • Subscription fees are billed in advance on a monthly or annual basis.

  • All fees are quoted in South African Rand (ZAR) unless otherwise specified.

  • Payment is due immediately upon invoice generation.

  • Failed payments may result in service suspension or termination.

  • Refunds are only provided in accordance with our refund policy.

  • We reserve the right to change pricing with 30 days advance notice.

Service Availability and Support

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted service.

  • Scheduled maintenance will be communicated in advance when possible.

  • Support is provided during South African business hours (08:00-17:00 SAST).

  • Emergency support is available for critical issues affecting business operations.

  • We reserve the right to limit support based on your subscription tier.

  • Service level agreements (SLAs) vary by subscription plan.

Intellectual Property Rights

  • SalesPro Hub and all related trademarks are owned by SalesPro Hub (Pty) Ltd.

  • Our software, documentation, and content are protected by copyright and other laws.

  • You receive a limited, non-exclusive license to use our platform.

  • You may not copy, modify, distribute, or create derivative works of our software.

  • Any feedback or suggestions you provide may be used without compensation.

  • We respect third-party intellectual property and expect users to do the same.

Limitation of Liability

  • Our liability is limited to the amount you paid for services in the past 12 months.

  • We are not liable for indirect, incidental, or consequential damages.

  • You use our platform at your own risk and we provide services "as is".

  • We do not warrant that our platform will meet all your specific requirements.

  • Some limitations may not apply in certain jurisdictions under South African law.

  • This limitation applies to the fullest extent permitted by applicable law.

Termination

  • Either party may terminate the agreement with 30 days written notice.

  • We may terminate immediately for breach of these terms or non-payment.

  • Upon termination, your access to the platform will be suspended.

  • You have 90 days to export your data before permanent deletion.

  • Termination does not relieve you of payment obligations for services already provided.

  • Provisions regarding data protection and liability survive termination.

Governing Law and Disputes

  • These terms are governed by the laws of the Republic of South Africa.

  • Any disputes will be resolved in the courts of Johannesburg, South Africa.

  • We encourage resolution of disputes through direct communication first.

  • Mediation may be required before pursuing legal action.

  • Class action waivers apply where legally permissible.

  • Some provisions may be subject to consumer protection laws.

Additional Important Information

Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them enforceable.

Assignment

You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations to affiliates or in connection with a merger or sale of assets.

Entire Agreement

These terms, together with our Privacy Policy and any additional service-specific terms, constitute the entire agreement between you and SalesPro Hub regarding use of our platform.

Changes to These Terms

  • You may terminate your account if you disagree with the changes

Your continued use of SalesPro Hub after the effective date of any changes constitutes acceptance of the updated Terms of Service.
